TERMS & CONDITIONS

Welcome to The ArtGraTech. The ArtGraTech is a creative brand operated by A Marshall Concepts LLC (“The ArtGraTech,” “we,” “us,” or “our”).

These Terms & Conditions apply to purchases, commissions, creative services, digital design services, original artwork, art prints, custom physical products, merchandise, and other products or services purchased through TheArtGraTech.com, an invoice, or another authorized sales channel operated by The ArtGraTech.

By placing an order, submitting payment, approving a proof, commissioning artwork, or purchasing creative services, you acknowledge that you have read, understood, and agreed to these Terms & Conditions.

1. GENERAL ORDER & PAYMENT TERMS

Unless otherwise stated in writing, full payment is required before creative work, commissioned artwork, custom production, or design services begin.

Payment must be successfully received and processed before an order enters the creative or production schedule.

Prices, shipping charges, taxes, rush fees, add-ons, and other applicable charges will be disclosed at checkout, on the applicable product page, or on the invoice provided to the client.

The ArtGraTech reserves the right to decline or cancel an order before work begins when a project falls outside our capabilities, violates these Terms, involves unauthorized intellectual property, or otherwise cannot reasonably be fulfilled. Any payment eligible for refund in such circumstances will be handled in accordance with the applicable refund policy and law.

Unless specifically agreed to in writing, The ArtGraTech does not begin work based solely on a deposit.

ORIGINAL ARTWORK

2. PURCHASE OF ORIGINAL ARTWORK

Artwork identified as Original Artwork is a one-of-one physical work unless the product description expressly states otherwise.

Because original artwork is individually created, buyers should expect natural variations in texture, brushwork, surface treatment, materials, edges, layering, finish, and other handmade characteristics. These qualities are part of the artwork and are not considered defects.

We make reasonable efforts to display artwork accurately online. However, photographs and digital screens may vary in:

  • color;
  • brightness;
  • contrast;
  • texture;
  • scale; and
  • overall appearance.

Artwork dimensions are approximate unless expressly stated otherwise.

Frames, hanging hardware, certificates of authenticity, or other accessories are included only when specifically identified in the artwork description.

3. ORIGINAL ARTWORK SALES ARE FINAL

Because of the unique nature of one-of-one artwork, sales of original artwork are considered final unless:

  • the wrong artwork was delivered;
  • the artwork arrives materially damaged;
  • the artwork was materially misrepresented; or
  • a return or refund is otherwise required by applicable law.

A change of mind, change in décor, perceived color difference caused by a display device, or other personal preference does not constitute a defect.

If an original artwork arrives damaged, please contact The ArtGraTech promptly and retain all packaging. Photographs of the artwork, packaging, shipping container, and visible damage may be required before a claim can be processed.

COMMISSIONED ORIGINAL ARTWORK

4. ART COMMISSIONS

Commissioned artwork is created specifically for an individual client based on an agreed concept, size, medium, direction, palette, subject matter, or other project specifications.

Commissioning original artwork means hiring The ArtGraTech to interpret your concept through The ArtGraTech’s artistic style.

A commission is not a guarantee of an exact duplication of another artwork, photograph, mockup, reference image, or previously created ArtGraTech piece unless explicitly agreed to in writing.

Reference materials are used as creative direction and inspiration rather than guarantees of exact reproduction.

5. COMMISSION PAYMENT & CANCELLATION

Unless otherwise stated in a written commission agreement or invoice, commissioned artwork must be paid in full before work begins.

If a client cancels before creative work has begun, an eligible payment may be refunded.

Once any of the following has occurred, commission payments become non-refundable except where otherwise agreed or required by law:

  • materials have been specifically purchased for the commission;
  • an initial sketch or concept has been created and delivered;
  • physical creation of the artwork has begun; or
  • substantial creative time has been committed to the project.

Commissioned artwork is custom work and therefore cannot generally be resold or repurposed in the same manner as inventory artwork.

6. COMMISSION CHANGES & ARTISTIC DISCRETION

Reasonable communication and progress review may be provided during the commission process.

Commission pricing does not include unlimited revisions.

Changes that substantially alter an approved:

  • concept;
  • composition;
  • subject;
  • dimensions;
  • color direction;
  • materials; or
  • creative approach

may require an additional fee.

Once a stage of the commission has been approved, returning to or substantially changing that stage may also result in additional charges.

The ArtGraTech retains reasonable artistic discretion over the final interpretation of all commissioned artwork.

ART PRINTS & REPRODUCTIONS

7. ART PRINTS

Art prints are reproductions of artwork and are not original one-of-one artworks unless explicitly identified otherwise.

Print listings will identify relevant specifications when applicable, including:

  • dimensions;
  • material or paper type;
  • printing method;
  • edition information;
  • framing status; and
  • other product characteristics.

A print described as an open edition may continue to be reproduced.

A print described as a limited edition will be produced subject to the edition quantity stated in the applicable listing.

Purchase of a print does not grant permission to reproduce, scan, photograph for commercial reproduction, distribute, modify, manufacture merchandise from, or otherwise commercially exploit the underlying artwork.

8. PRINT COLOR & PRODUCTION VARIATION

Digital screens reproduce color differently from physical printing processes.

Minor differences in color, saturation, contrast, paper tone, crop, positioning, finish, or texture between the website image and the physical print are normal and are not considered printing defects.

Each printed product may also display minor production variations inherent to the printing process.

CREATIVE STUDIO & GRAPHIC DESIGN

9. DESIGN FILE TYPES

Final file types are determined by the intended use of the design and the service purchased.

Where appropriate, the standard digital file provided for general design use is a PNG.

Other formats may be supplied when required by the purchased service or expressly agreed upon.

Editable source files, working files, layered files, master files, font files, or other production files are NOT included unless specifically identified in the service description, invoice, or written agreement.

Source/master files may be available for an additional fee when appropriate.

10. GRAPHIC DESIGN PAYMENT

All graphic-design and Creative Studio services require full payment before work begins unless an alternative arrangement has been expressly agreed to in writing.

The ArtGraTech does not provide completed speculative design work or custom design samples before payment.

Examples contained in our portfolio represent previous work and establish the general quality and creative capabilities of the studio but do not guarantee that a new project will duplicate another client’s design.

DESIGN PROCESS

11. FOUR-PHASE CREATIVE PROCESS

Unless a specific service requires a different workflow, custom graphic-design projects generally progress through four creative phases.

PHASE 1 — CONCEPT

The ArtGraTech develops an initial sketch, direction, layout, or rough concept to establish the foundation of the project.

The client reviews the concept and provides feedback before the project moves forward.

PHASE 2 — DEVELOPMENT

The approved concept is developed into a more complete visual design.

Composition, hierarchy, visual elements, and overall creative direction are refined during this stage.

PHASE 3 — REFINEMENT

Color, typography, effects, placement, details, and other visual elements are refined.

The client receives an opportunity to review the design for accuracy and provide applicable feedback within the existing approved direction.

PHASE 4 — FINALIZATION

The approved design is prepared for its intended use and exported into the appropriate final file format.

Before final approval, the client is responsible for reviewing:

  • spelling;
  • names;
  • dates;
  • contact information;
  • colors;
  • wording;
  • placement;
  • dimensions;
  • logos;
  • photographs; and
  • all other client-supplied information.

Once final approval has been provided, the design is considered accepted.

REVISIONS

12. REVISION POLICY

Custom design services do not include unlimited revisions.

Reasonable adjustments to the active design phase may be made within the original agreed project scope.

Once a phase has been approved, requesting changes that require The ArtGraTech to return to a previously approved phase may result in a $50 revision fee per reopened phase or revision request, unless another amount has been stated in the applicable service agreement.

Examples include changing an approved:

  • concept;
  • layout;
  • logo direction;
  • composition;
  • typography system;
  • color direction;
  • imagery; or
  • other major creative element.

The applicable revision fee must be paid before additional revision work begins.

Requests that materially change the original project scope may be treated as a new project and quoted separately.

CLIENT FEEDBACK & PROJECT DELAYS

13. CLIENT RESPONSE REQUIREMENTS

Client feedback is an essential part of the creative process.

Clients should respond to proof or feedback requests within 1–2 business days whenever possible.

Failure to provide timely feedback may delay the project.

When a client response is substantially delayed, up to five additional business days or more may be added to the estimated completion schedule, depending on current studio workload.

The ArtGraTech is not responsible for missed deadlines caused by delayed client:

  • feedback;
  • approvals;
  • content;
  • photographs;
  • logos;
  • information;
  • decisions; or
  • other required project materials.

TURNAROUND TIMES

14. STANDARD DESIGN TURNAROUND

Unless another timeline is stated for the purchased service, standard custom design projects may require approximately 7–14 business days for creative completion.

Initial concepts for certain digital services may be provided within approximately 3–5 business days, depending on the scope of the project and current studio workload.

Turnaround estimates represent creative production time and may not include:

  • client feedback delays;
  • printing;
  • manufacturing;
  • shipping;
  • third-party production;
  • holidays; or
  • revisions outside the original scope.

Creative quality is not rushed, and timelines are estimates unless a specific guaranteed deadline has been expressly agreed to in writing.

RUSH SERVICES

15. RUSH PROJECTS

Rush services may be available for an additional fee.

Rush fees are non-refundable once the project has entered the rush production schedule.

Clients purchasing rush service must respond to requests for feedback or approval within one business day.

If required client feedback is not received within that period, the original rush completion date may be forfeited and the project may revert to the standard production schedule.

The rush fee does not eliminate the client’s responsibility to provide timely information, feedback, files, or approvals.

DESIGN REFUNDS & CANCELLATIONS

16. DIGITAL DESIGN REFUNDS

Because graphic-design services involve custom creative labor, refund eligibility ends once substantive custom work has been created and presented to the client.

If a client cancels before creative work begins and before any custom concept has been presented, eligible design fees may be refunded.

Once an initial custom concept, sketch, proof, or design has been presented, design payments become non-refundable, except where otherwise required by law or agreed to in writing.

Approval of a concept or design phase confirms acceptance of that creative direction.

Rush fees are non-refundable once rush work has begun.

CUSTOM PHYSICAL PRODUCTS

17. PROOF APPROVAL

Custom printed or manufactured products must receive client approval before production whenever a digital proof is provided.

Approval of a proof confirms that the client has reviewed and accepted the:

  • wording;
  • spelling;
  • artwork;
  • colors;
  • placement;
  • layout;
  • quantities;
  • dimensions; and
  • other visible specifications shown in the proof.

The ArtGraTech is not responsible for errors contained in an approved proof when those errors were visible and reasonably available for client review.

18. CUSTOM PRODUCT REFUNDS

Because custom printed, personalized, or made-to-order physical products are produced specifically for the purchaser, these products are generally final sale once production begins.

Custom products cannot be returned or refunded solely because the client:

  • changes their mind;
  • no longer needs the product;
  • overlooked information contained in an approved proof; or
  • experiences expected differences between screen color and physical production.

This provision does not eliminate any rights available for materially defective, damaged, incorrect, or legally returnable merchandise.

DEFECTIVE OR DAMAGED PRODUCTS

19. PRINTING & PRODUCTION DEFECTS

If a print, custom physical product, or other eligible item arrives materially defective or damaged, contact The ArtGraTech promptly after delivery.

We may request:

  • the order number;
  • photographs of the product;
  • photographs of the packaging;
  • photographs showing the defect or damage; and
  • return of the affected merchandise when reasonably necessary.

If a verified manufacturing or printing defect occurred, The ArtGraTech may, as appropriate:

  • reprint the affected item;
  • replace the affected item;
  • provide another reasonable remedy; or
  • issue a refund when required.

Minor screen-to-print color variation is not considered a manufacturing defect.

Any replacement or reprint obligation will not exceed the value of the affected product or order except where otherwise required by law.

INTELLECTUAL PROPERTY

20. COPYRIGHT IN ORIGINAL ARTWORK

Purchasing an original physical artwork transfers ownership of the physical artwork itself to the purchaser.

It does not automatically transfer copyright or intellectual-property rights in the artwork.

Unless The ArtGraTech expressly transfers those rights through a separate written agreement, The ArtGraTech retains all copyrights and reproduction rights associated with original and commissioned artwork.

This includes the right to:

  • photograph the artwork;
  • display it in a portfolio;
  • publish it on TheArtGraTech.com;
  • display it on social media;
  • use it in exhibitions or promotional materials;
  • reproduce the artwork as prints;
  • create authorized reproductions;
  • license images of the artwork; and
  • use images of the work to promote The ArtGraTech.

The owner of the physical artwork may display, gift, or resell the physical piece, but may not commercially reproduce the artwork without written authorization.

21. COPYRIGHT IN ART PRINTS

Purchase of an art print transfers ownership only of the physical print purchased.

Copyright and reproduction rights in the underlying artwork remain with The ArtGraTech unless expressly transferred in writing.

Purchasers may not reproduce The ArtGraTech artwork for:

  • resale;
  • merchandise;
  • commercial printing;
  • advertising;
  • branding;
  • digital products;
  • derivative commercial works; or
  • other commercial exploitation

without prior written authorization.

GRAPHIC DESIGN OWNERSHIP & USAGE RIGHTS

22. CLIENT DESIGN RIGHTS

Upon full payment, clients receive the usage rights expressly included with the design service purchased or stated in their invoice or written project agreement.

Where a project is expressly sold with full copyright ownership or exclusive ownership, any required copyright assignment will be documented separately in writing.

Unless otherwise stated, purchase of a graphic-design service does not automatically include:

  • editable source files;
  • unused concepts;
  • rejected concepts;
  • preliminary sketches;
  • working files;
  • purchased font licenses;
  • third-party stock licenses beyond their permitted use; or
  • other studio production assets.

The ArtGraTech does not claim royalties from a client’s ordinary authorized use of completed custom design work unless a separate licensing agreement states otherwise.

23. PORTFOLIO RIGHTS

Unless confidentiality has been expressly agreed to in writing before the project begins, The ArtGraTech retains the right to display completed commissioned artwork, graphic-design work, and creative projects for:

  • portfolio purposes;
  • social media;
  • website presentation;
  • case studies;
  • award submissions;
  • exhibitions;
  • advertising; and
  • studio marketing.

Confidential or unreleased projects may be subject to separate written terms when requested and agreed upon before work begins.

CLIENT-SUPPLIED CONTENT

24. CLIENT RESPONSIBILITY FOR MATERIALS

Clients are responsible for ensuring they have the legal right to provide and use all materials supplied to The ArtGraTech, including:

  • photographs;
  • logos;
  • illustrations;
  • trademarks;
  • fonts;
  • text;
  • music;
  • graphics;
  • artwork; and
  • other intellectual property.

By submitting material for a project, the client represents that they own the material or have sufficient permission to authorize its use.

The ArtGraTech may refuse to use material that reasonably appears to infringe another person’s intellectual-property rights or otherwise violates applicable law.

The client remains responsible for claims arising from unauthorized materials supplied by the client.

SHIPPING & DELIVERY

25. PHYSICAL ORDERS

Shipping and fulfillment times vary based on the type of product purchased.

Original artwork, art prints, apparel, commissioned artwork, and custom manufactured products may have different processing and shipping schedules.

Estimated production or shipment dates are not guarantees unless expressly stated as guaranteed in writing.

Tracking information will be provided when available.

If a material shipping delay occurs, The ArtGraTech will communicate available options in accordance with applicable law.

Additional shipping details may be governed by the separate Shipping Policy published on TheArtGraTech.com.

LIMITATION OF LIABILITY

26. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE ARTGRATECH, A MARSHALL CONCEPTS LLC, ITS AFFILIATES, OWNERS, EMPLOYEES, CONTRACTORS, AGENTS, CONTENT PROVIDERS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO:

  • CREATIVE SERVICES;
  • PRODUCTS;
  • USE OF THE WEBSITE;
  • DELAYED PROJECT COMPLETION;
  • LOST REVENUE;
  • LOST PROFITS;
  • LOST BUSINESS;
  • LOSS OF DATA;
  • CLIENT-SUPPLIED ERRORS; OR
  • THE INABILITY TO USE A PRODUCT OR SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF THE ARTGRATECH AND A MARSHALL CONCEPTS LLC ARISING FROM ANY ORDER, PRODUCT, COMMISSION, OR SERVICE WILL NOT EXCEED THE AMOUNT ACTUALLY PAID BY THE CUSTOMER FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

Some jurisdictions do not permit certain limitations or exclusions of liability, so portions of this section may not apply to every customer.

27. THIRD-PARTY PRODUCTION & SERVICES

Certain prints, apparel, specialty products, hosting services, payment processing services, shipping services, fonts, stock materials, or production components may be provided by third parties.

The ArtGraTech is not responsible for third-party interruptions or delays outside our reasonable control, although we will make reasonable efforts to assist with eligible order issues.

Any third-party intellectual-property license remains subject to the applicable third party’s licensing terms.

28. PROJECT INACTIVITY

If a client becomes unresponsive during a custom project, the project may be placed on hold.

A prolonged period of inactivity may require the project to be rescheduled based on current studio availability.

Previously paid fees are not automatically refundable because a project was delayed or suspended due to client inactivity.

Substantial changes requested after an extended period of inactivity may require a revised quote.

29. CHANGES TO THESE TERMS

The ArtGraTech may update these Terms & Conditions from time to time.

Updates will become effective when posted to TheArtGraTech.com unless another effective date is stated.

The version in effect when an order or service is purchased will generally govern that transaction, subject to applicable law and any separate written agreement between the parties.

30. CONFLICT WITH PROJECT-SPECIFIC AGREEMENTS

A written proposal, invoice, commission agreement, licensing agreement, or other project-specific contract may contain terms that differ from these general Terms & Conditions.

When a written project-specific agreement expressly conflicts with these Terms, the project-specific agreement will control for that particular project.

The website’s separate Refund Policy, Privacy Policy, Shipping Policy, and other published policies may also apply.

ACCEPTANCE

By completing a purchase, paying an invoice, commissioning artwork, approving a proof, or authorizing The ArtGraTech to begin custom work, you acknowledge that you have reviewed and accepted these Terms & Conditions.
